Biography
Mr. Dennis founded DD&F Consulting Group in 1993 after advising financial institutions for over 15 years. He actively works with bank directors and senior management teams in the areas of mergers and acquisitions and strategic planning. Randy has been involved in all phases of the bank acquisition process and has lead DD&F to be annually ranked among the top ten financial advisors in the United States in mergers and acquisitions. Randy is also actively involved in helping banks identify and articulate their strategic direction. He has facilitated planning sessions and worked with numerous boards across the country to help them focus on their bank's plans and opportunities. Randy also serves on the faculty of Barret School of Banking in Memphis, Tennessee.
Professional Experience
Mergers and Acquisitions - Served as the Principal or Senior Consultant for over 200 bank and thrift mergers, change in control applications, and holding company applications overseeing all aspects of acquisitions including financial, tax, and regulatory.
RTC Assisted Transactions - Served as the Principal for over 100 assisted thrift sales for over $4.0 billion in deposits. These acquisitions included newly chartered banks and thrifts, branch purchases, whole thrift purchases and clean thrift purchase and assumptions.
FSLIC Assisted Transactions - Prior to formation of the RTC by Congress, Mr. Dennis worked closely with investors and various District Federal Home Loan Banks, the FSLIC, and the FHLBB in structuring and consummating FSLIC-assisted transactions.
New Charters, Branching and Market Research - Assisted over 70 new banks in the chartering process. Assisted numerous banks and thrifts in preparing market analyses and branch strategy studies. Assisted in filing over 150 branch applications for banks over a multi-state area. Served as an expert witness for state and federal bank and branch hearings.
